1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and StockBridge ("Company," "we," "us," or "our") governing your access to and use of the StockBridge inventory synchronization service (the "Service").
By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
2. Description of Service
StockBridge provides a software-as-a-service (SaaS) solution that enables real-time, bidirectional inventory synchronization between Shopify stores and Wolt marketplace accounts. The Service includes:
- Automated inventory level synchronization
- Product mapping between platforms
- Pre-sale inventory verification (oversell protection)
- Activity logging and monitoring dashboard
- Technical support as specified in your subscription plan
3. Account Registration
To use our Service, you must:
- Be at least 18 years of age
- Have a valid Shopify store with appropriate permissions
- Have a valid Wolt merchant account
- Provide accurate and complete registration information
- Maintain the security of your account credentials
You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other breach of security.
4. Subscription and Billing
4.1 Subscription Plans
The Service is offered through various subscription plans with different features, SKU limits, and pricing. Plan details are available on our pricing page and may be updated from time to time.
4.2 Free Trial
We offer a 3-day free trial for new users. No credit card is required to start the trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service.
4.3 Payment Terms
- Subscription fees are billed monthly in advance through the Shopify billing system
- All fees are non-refundable unless otherwise specified
- We reserve the right to change pricing with 30 days' notice
- Failed payments may result in Service suspension
4.4 Cancellation
You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service until the end of your current billing period. No partial refunds are provided for unused portions of a billing cycle.
5. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Use the Service in any way that violates applicable laws or regulations
- Attempt to gain unauthorized access to our systems or other users' accounts
- Interfere with or disrupt the Service or servers connected to the Service
- Use the Service to transmit malware, viruses, or harmful code
- Reverse engineer, decompile, or disassemble the Service
- Use automated scripts to collect information from the Service
- Resell, sublicense, or redistribute the Service without authorization
- Use the Service for any fraudulent or deceptive purposes
6. Data and Privacy
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
By using the Service, you grant us permission to access and synchronize inventory data between your connected Shopify and Wolt accounts as necessary to provide the Service.
7. Intellectual Property
7.1 Our Intellectual Property
The Service, including its original content, features, and functionality, is owned by StockBridge and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 Your Content
You retain ownership of all data and content you provide through the Service. You grant us a limited license to use, process, and store your data solely for the purpose of providing the Service.
8. Third-Party Services
The Service integrates with third-party platforms (Shopify and Wolt). Your use of these platforms is subject to their respective terms of service and policies. We are not responsible for the actions, content, or policies of third-party services.
Changes to third-party APIs or services may affect our Service. We will make reasonable efforts to adapt to such changes but cannot guarantee uninterrupted service in all circumstances.
9. Service Availability and Support
9.1 Uptime
We strive to maintain high availability of the Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
9.2 Support
Support is provided according to your subscription plan. Response times and support channels vary by plan level. Enterprise customers may have access to Service Level Agreements (SLAs) with specific uptime guarantees.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
We do not warrant that: (a) the Service will function uninterrupted or be error-free; (b) errors or defects will be corrected; (c) the Service is free of viruses or harmful components; or (d) the results of using the Service will meet your requirements.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STOCKBRIDGE, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
- Inventory discrepancies, overselling, or synchronization failures
Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to defend, indemnify, and hold harmless StockBridge and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.
13. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the European Union and applicable local laws, without regard to conflict of law provisions.
Any disputes arising from these Terms or your use of the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration or the competent courts in our jurisdiction.
15. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
Your continued use of the Service after any changes to these Terms constitutes acceptance of those changes. If you do not agree to the new terms, you must stop using the Service.
16. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and StockBridge regarding the Service and supersede all prior agreements and understandings.
